1. Acceptance of Terms

By using the Platform, you acknowledge and agree to be bound by these Terms and any policies referenced herein. If you are acting on behalf of an organization, you warrant that you have the authority to bind the organization to these Terms. If you do not agree, please refrain from using the Platform.

2. Changes to Terms

Ugafu may modify the Terms from time to time. We will post the revised Terms on the Platform and update the “Last Updated” date. Your continued use after the changes constitutes acceptance of the revised Terms. If you do not agree to the changes, discontinue use of the Platform.

3. Intellectual Property

All content on the Platform, including text, graphics, logos, user interface elements, and software, is owned by Ugafu or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms. No other rights are granted. You may not reproduce, modify, distribute, or create derivative works from any portion of the Platform without Ugafu's prior written consent, except as explicitly permitted by these Terms or applicable law.

Trademarks, service marks, and logos displayed on the Platform are the property of Ugafu or their respective owners. Nothing herein grants you any license to use such marks.

User-generated content: If you contribute content through the Platform (such as reviews or comments), you grant Ugafu a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, display, and distribute that content in connection with the Platform. You represent that you own or have rights to the content you post and that posting it does not infringe any third-party rights.

4. Third-Party Links and Google Play

The Platform provides listings for apps that are hosted by third parties, primarily on the Google Play Store. Ugafu itself does not host or control the apps that appear in the listings on ugafu.com. When you choose to view or install an app, you will be directed to Google Play or other third-party storefront, which are governed by their own terms of service and privacy policies.

Ugafu does not warrant the accuracy, completeness, or reliability of any app description, reviews, developer information, or other content appearing on Google Play or any third-party storefront. Your use of those services is at your own risk, and Ugafu disclaims any responsibility for third-party content, policies, or practices.

5. Disclaimers and No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." UGAFU AND ITS LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH YOUR EQUIPMENT. UGAFU DOES NOT WARRANT OR REPRESENT THAT INFORMATION ON THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UGAFU AND ITS AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS OR USE OF THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, OR OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL UGAFU'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO UGAFU FOR THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify and hold Ugafu, its officers, employees, and affiliates harmless from any claims, damages, losses, costs, or liabilities arising from your use of the Platform or violation of these Terms.

8. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Ugafu operates, without regard to conflicts of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising out of these Terms or your use of the Platform.

9. Termination

Ugafu may suspend or terminate your access to the Platform at its sole discretion for violation of these Terms, safety concerns, or other misconduct. Upon termination, your right to access the Platform terminates, and the licenses granted herein terminate except for provisions intended to survive termination.

10. Miscellaneous

If any provision of these Terms is found unenforceable or invalid, the remaining provisions will continue in full force and effect. Ugafu may assign or subcontract its rights or obligations under these Terms without your consent. You may not assign these Terms without Ugafu's prior written consent.
